Agreement to Terms

These Terms of Service ("Terms") govern your use of Zyra's platform and related services (the "Service") operated by Zyra ("we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms.

Our Privacy Commitment

We do not sell, rent, or trade your personal information, including SMS data and phone numbers. Your information is used exclusively to provide and improve our services. You can opt out of SMS communications at any time by replying STOP.

1. Use of Service

You may use our Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

  • In any way that violates any applicable federal, state, local, or international law or regulation
  • To transmit any unauthorized advertising or promotional material
  • To impersonate or attempt to impersonate the Company, another user, or any other person or entity
  • In any way that infringes upon the rights of others
  • To engage in any activity that could disable, damage, or impair the Service
  • To use AI-generated content for illegal or deceptive purposes
  • To circumvent usage limits or security measures
  • To process protected health information (PHI) without appropriate agreements

2. Account Registration

To access certain features of our Service, you must register for an account. When you register, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your password and account
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use
  • Obtain necessary consents from callers before recording or processing their calls
  • Comply with all applicable laws regarding call recording and data privacy in your jurisdiction

3. Service Features and Pricing

Our Service includes:

  • Voice agent configuration and management
  • Call logging and transcription services
  • AI-powered call summaries and insights
  • Appointment scheduling and calendar management
  • Google Calendar synchronization (when authorized)
  • Gmail integration for notifications (when authorized)
  • Natural language processing for voice and SMS interactions
  • Real-time analytics and reporting

You agree to pay all fees associated with your use of the Service according to the pricing plan you select. Fees are non-refundable except as required by law.

4. SMS Communications and Express Consent

TCPA Compliance and Express Written Consent

By providing your mobile phone number and checking the opt-in box, you provide your express written consent to receive text messages from Zyra using an automatic telephone dialing system. Consent is not required as a condition of purchasing any goods or services.

SMS Program Terms:

  • Program Name: Zyra Voice Agent Notifications
  • Message Frequency: You will receive approximately 2-5 messages per month for account updates, plus additional messages based on your support requests and appointment scheduling activity
  • Message Types:
    • Account alerts and notifications
    • Appointment confirmations and reminders
    • System maintenance and security alerts
    • Support ticket updates
    • Integration notifications (when opted in)
  • No Mobile Purchase Required: Our services are not available for purchase via SMS

Opt-In and Opt-Out Procedures:

  • Opt-In: You must explicitly check the consent box to opt-in to SMS communications. We will send a confirmation message upon opt-in.
  • Opt-Out: Text STOP to any message to cancel. You'll receive a final confirmation of opt-out. You may also:
    • Update preferences in your account settings
    • Email our support team
    • Contact us through your dashboard
  • Help: Text HELP for program information and support contact details

Costs and Carrier Information:

  • Message and data rates may apply. Check with your carrier for details.
  • Supported carriers include but are not limited to: AT&T, Verizon, T-Mobile, Sprint, Boost, Cricket, MetroPCS, U.S. Cellular
  • Carriers are not liable for delayed or undelivered messages

Privacy and Data Use:

We will never sell, rent, lease, or share your phone number or SMS data with third parties for their marketing purposes. Your information is used solely to provide the services you've requested. We maintain records of consent and opt-out requests as required by law.

Dispute Resolution: Any disputes regarding SMS communications will be subject to binding arbitration as outlined in Section 14, except you may opt-out of arbitration for SMS-related disputes by notifying us in writing within 30 days of first receiving a text message from us.

5. Intellectual Property

The Service and its original content, features, and functionality are owned by Zyra and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our express written permission.

6. User Content

You retain ownership of any content you submit through the Service. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and distribute your content solely for the purpose of providing the Service to you.

7. Privacy and Data Protection

Your use of our Service is also governed by our Privacy Policy. We are committed to protecting your privacy and personal information. We do not sell your data to third parties. All information collected is used solely to provide and improve our services.

Google Data Usage:

Our use and transfer to any other app of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements. By using our Google integration features, you acknowledge and agree to these terms.

AI Processing:

By using our services, you consent to the processing of your call transcripts, messages, and related data through AI systems. This processing is essential for providing voice agent capabilities, generating summaries, and scheduling appointments. You may opt-out of certain AI features through your account settings.

8. Acceptable Use Policy

You agree not to:

  • Violate any laws or regulations
  • Infringe on the rights of others
  • Transmit harmful, offensive, or inappropriate content
  • Engage in fraudulent or deceptive practices
  • Attempt to gain unauthorized access to any systems
  • Overload or disrupt our infrastructure
  • Use AI-generated content for illegal purposes
  • Misrepresent AI-generated content as human-created
  • Share your account credentials with others
  • Use the service to make unsolicited calls or send spam messages

9. Service Availability

While we strive to provide reliable services, we do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue services with reasonable notice. We are not liable for any loss or damage resulting from service interruptions or modifications.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination:

  • Your right to use the Service will cease immediately
  • We may delete your data after a reasonable retention period
  • You remain liable for any outstanding fees
  • You may request export of your data before termination takes effect

11. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, secure, or error-free. You use the Service at your own risk. We do not guarantee the accuracy or reliability of AI-generated content.

12. Limitation of Liability

To the maximum extent permitted by law, Zyra shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses. Our total liability shall not exceed the amount paid by you in the past twelve months.

13. Indemnification

You agree to indemnify and hold harmless Zyra and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising from these Terms will be resolved through binding arbitration, except for SMS-related disputes if you opt-out as described in Section 4.

15. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through the Service. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Zyra regarding your use of the Service and supersede all prior agreements and understandings.
